This is how we add value:

  • Strategy: We accompany our clients from the analysis of the operation, making sure that it is aligned with the strategic plan.
  • Financing: Once it is necessary, we accompany our clients, after analyzing and deciding which is the optimal financing method.
  • Due diligence: At this stage, we are in charge of analyzing contingencies and proposing protection mechanisms, mitigating risks and maximizing shareholder value.
  • Structuring: Depending on the type of operation, we identify the ideal way forward. We negotiate purchase and sale agreements, mergers, spin-offs, joint ventures and corporate reorganizations.
  • Optimization: The tax and equity burden is a fundamental issue in Mexico when it comes to M&A transactions. We support our clients by implementing vehicles and structures that ensure efficiency and compliance. 

We accompany the post-transaction integration, ensuring operational continuity, governance and alignment between the new partners or business groups.

 

Outstanding achievement 

This year we were able to finalize to 100% the restructuring of a business group in the pharmaceutical industry. We supported our client in the sale of a company of the group where MNP Consultores carried out the negotiation, structuring of agreements and closing of the deal. This was a large transaction, which exceeded a value of 400 MDP.
